1. Agreement to Terms
Welcome to Uplink Tourism. These Terms of Service ("Terms") govern your access to and use of the Uplink Tourism platform, including our website at uplink-tourism1.vercel.app (the "Platform").
By accessing or using our Platform, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Platform.
IMPORTANT: These Terms contain an arbitration clause and class action waiver. Please read Section 14 carefully.
2. Definitions
- "Platform" means the Uplink Tourism website and services
- "Buyer" means tourism organizations seeking marketing services
- "Vendor" means tourism marketing experts and agencies
- "User" means any person who accesses or uses the Platform
- "Project" means a service request posted by a Buyer
- "Proposal" means a vendor's offer to complete a Project
- "Contract" means the agreement generated when a Buyer accepts a Proposal
3. Eligibility
To use the Platform, you must:
- Be at least 18 years old
- Have the legal capacity to enter into binding contracts
- Represent a legitimate business or organization
- Not be prohibited from using the Platform under applicable laws
- Provide accurate and complete registration information
4. User Accounts
4.1 Account Registration
You must create an account to use most features of the Platform. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized use
- Be responsible for all activities under your account
4.2 Vendor Verification
Vendors must complete a verification process before accessing Platform features. We reserve the right to:
- Approve or reject vendor applications at our sole discretion
- Request additional verification documents
- Suspend or terminate accounts that violate these Terms
5. Platform Use and Restrictions
5.1 Permitted Use
You may use the Platform to:
- Post legitimate tourism marketing projects (Buyers)
- Submit proposals and provide services (Vendors)
- Communicate with other users through the Platform
- Manage contracts and payments
5.2 Prohibited Activities
You agree NOT to:
- Violate any laws or regulations
- Post false, misleading, or fraudulent information
- Harass, abuse, or harm other users
- Attempt to circumvent Platform fees or payment processes
- Share contact information to conduct transactions off-platform before contract execution
- Use automated systems (bots, scrapers) without permission
- Interfere with Platform security or functionality
- Infringe on intellectual property rights
- Impersonate any person or entity
- Spam or send unsolicited communications
6. Projects, Proposals, and Contracts
6.1 Posting Projects
Buyers agree that:
- Project descriptions must be accurate and complete
- Budgets and timelines must be realistic and in good faith
- You will respond to proposals in a timely manner
- You will honor accepted proposals and signed contracts
6.2 Submitting Proposals
Vendors agree that:
- Proposals must accurately represent your capabilities
- Pricing and timelines must be realistic and achievable
- You have the expertise and resources to deliver proposed services
- You will honor accepted proposals and signed contracts
6.3 Contracts
When a Buyer accepts a Proposal:
- A legally binding Contract is generated between Buyer and Vendor
- Both parties must review and electronically sign the Contract
- Uplink Tourism acts as a facilitator but is not a party to the Contract
- Both parties are responsible for fulfilling Contract obligations
- Disputes should be resolved directly between parties (see Section 14)
7. Payments and Fees
7.1 Platform Fees
Uplink Tourism charges a 10% platform fee on all transactions. This fee is deducted from payments before release to vendors.
7.2 Payment Processing
Payments are processed securely through Stripe. By using the Platform, you agree to:
- Provide valid payment method information
- Pay all amounts owed under Contracts
- Stripe's terms of service and privacy policy
- Additional fees may apply (e.g., currency conversion, bank fees)
7.3 Payment Terms
For buyer protection:
- Payment terms are specified in each contract
- Buyers must approve or reject deliverables within a reasonable time
- Approved payments are released to vendors minus platform fees
- Disputed payments may be subject to resolution processes
8. Intellectual Property
8.1 Platform Content
The Platform and its content (excluding User Content) are owned by Uplink Tourism and protected by intellectual property laws. You may not copy, modify, or distribute Platform content without permission.
8.2 User Content
You retain ownership of content you upload ("User Content"). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content for Platform operation and marketing purposes.
8.3 Work Product
Ownership of work product delivered under Contracts is governed by the individual Contract terms between Buyer and Vendor.
9. Warranties and Disclaimers
9.1 User Warranties
By using the Platform, you warrant that:
- You have the right to use all information and content you provide
- Your use of the Platform complies with all applicable laws
- You will not infringe on others' rights
9.2 Platform Disclaimer
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, INCLUDING:
- Merchantability and fitness for a particular purpose
- Accuracy, reliability, or availability of the Platform
- Uninterrupted or error-free operation
- Security of data transmission
9.3 Third-Party Disclaimer
We do not guarantee the quality, safety, or legality of services provided by Vendors. We do not verify all User information. Buyers and Vendors interact at their own risk.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- UPLINK TOURISM SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS PRIOR TO THE CLAIM
- WE ARE NOT LIABLE FOR USER CONDUCT, CONTRACT BREACHES BETWEEN USERS, OR THIRD-PARTY ACTIONS
- WE ARE NOT LIABLE FOR DATA LOSS, BUSINESS INTERRUPTION, OR LOST PROFITS
11. Indemnification
You agree to indemnify and hold harmless Uplink Tourism from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Platform, (b) violation of these Terms, (c) violation of any rights of another, or (d) your User Content.
12. Termination
We may suspend or terminate your account at any time for any reason, including:
- Violation of these Terms
- Fraudulent or illegal activity
- Harm to other users or the Platform
- Extended inactivity
You may terminate your account at any time through account settings. Existing Contract obligations survive termination.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to conflict of law principles.
14. Dispute Resolution
14.1 Informal Resolution
Before filing any formal claim, you agree to first contact us at support@uplinktourism.com to attempt informal resolution.
14.2 Arbitration
Any disputes that cannot be resolved informally shall be resolved through binding arbitration rather than in court, except for small claims court matters.
14.3 Class Action Waiver
YOU AGREE TO BRING CLAIMS ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by email or Platform notice. Continued use after changes constitutes acceptance of the new Terms.
16. Miscellaneous
- Entire Agreement: These Terms constitute the entire agreement between you and Uplink Tourism
- Severability: If any provision is found invalid, the remainder shall remain in effect
- No Waiver: Failure to enforce any right does not constitute a waiver
- Assignment: You may not assign these Terms without our consent
- Force Majeure: We are not liable for delays beyond our reasonable control
